Merchant Service Agreement
This agreement governs the relationship between Defleckt Protection Ltd. and the merchants utilizing our revenue protection and dispute management services.
1. Scope of Services
Defleckt provides professional dispute management services, including automated evidence collection, representment drafting, and real-time chargeback alerts. Our services are intended to assist legitimate merchants in recovering revenue lost to "Friendly Fraud" and processing errors.
1.1 Agentic Representation: By engaging our services, the merchant appoints Defleckt as its agent for the sole purpose of communicating with payment processors and acquiring banks to resolve disputed transactions.
2. Merchant Obligations
To ensure maximum win rates and compliance with network rules, the merchant agrees to:
- Provide accurate and complete transactional data through our APIs or secure portals.
- Maintain clear and accessible terms of service and refund policies on their own storefronts.
- Respond to audit requests from Defleckt within 48 business hours.
- Notify Defleckt immediately of any changes to their payment processor or acquiring bank relationships.
3. Performance and Liability
3.1 No Guarantee of Outcome: While Defleckt leverages advanced AI and industry expertise to maximize recovery, the final determination of a dispute rests with the issuing bank and card network. Defleckt does not guarantee a specific win rate for any individual merchant account.
3.2 Limitation of Liability: Defleckt shall not be liable for any indirect, incidental, or consequential damages resulting from the loss of a dispute or the termination of a merchant account by a financial institution. Our total liability is limited to the fees paid by the merchant in the three months preceding the claim.
4. Compliance with Network Rules
All representment services provided by Defleckt are conducted in strict accordance with the operating regulations of Visa, Mastercard, AMEX, and Discover. We reserve the right to refuse service for any transaction that we believe to be illegitimate, fraudulent, or in violation of high-risk network standards.
5. Term and Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, Defleckt will finalize all pending disputes submitted prior to the notice period. The merchant remains responsible for any performance fees associated with successful recoveries initiated during the term of service.
Agreement and Acceptance
By integrating with the Defleckt API or utilizing our dashboard, the merchant explicitly agrees to be bound by the terms of this Merchant Service Agreement.
